These Terms & Conditions (“Terms”) govern the provision of web design and related services (“Services”) by Red Panda Design (“we,” “us,” or “our”) to the client (“you” or “your”). By engaging our Services, you agree to these Terms.

1. Scope of Services

We will provide web design and development services as agreed in your project proposal or quotation.
Any additional features, changes, or revisions outside the agreed scope may incur additional fees.

2. Payment Terms
   •    Deposit: A 50% non-refundable deposit is required before work begins.
   •    Final Payment: The remaining 50% is due upon project completion, before the website goes live or final files are handed over.
   •    Accepted Payment Methods: Bank transfer, TWINT, or credit card.
   •    Late Payments: Invoices not paid within 7 days of the due date may be subject to a 2% late fee per month.

3. Client Responsibilities

To enable us to deliver your project on time, you agree to:
   •    Provide all required text, images, logos, and other content promptly.
   •    Respond to feedback requests in a timely manner.
   •    Ensure that all provided materials are owned by you or licensed for your use.

We are not responsible for delays caused by late content delivery, lack of feedback, or third-party issues.

4. Revisions & Changes
   •    Your project includes [X] rounds of revisions as stated in the proposal.
   •    Additional revisions, changes to the brief, or feature requests will be billed at and hourly rate (depending on purchased package) or as otherwise agreed.

5. Project Timeline

Estimated completion dates are provided for guidance and may change based on your responsiveness, revisions, or other unforeseen factors.
We are not liable for delays outside our control.

6. Ownership & Rights
   •    Before final payment: All designs and files remain our property.
   •    After final payment: You own the final website design and content you have provided.
   •    We reserve the right to showcase the completed project in our portfolio and marketing materials unless you request otherwise in writing.

7. Third-Party Services

If your website uses third-party services (e.g., Wix hosting, payment gateways, stock imagery), you are responsible for paying any ongoing fees and complying with their terms of service.

8. Cancellation Policy
   •    If you cancel the project after work has started, the deposit is non-refundable.
   •    If you cancel after partial completion, you will be invoiced for work done up to the cancellation date.

9. Warranties & Liability
   •    We will make reasonable efforts to ensure your website is functional and free from errors at launch.
   •    We are not liable for losses, damages, or downtime caused by factors outside our control, including hosting issues, third-party services, or cyberattacks.

10. Governing Law

These Terms are governed by the laws of Switzerland, and any disputes will be subject to the exclusive jurisdiction of the courts in Ticino.
